Under the direction of the General Counsel, the Associate General Counsel provides corporate legal advice and review, research, and analysis on a wide variety of topics.  Administers the AAOS Professional Compliance Program (“Program”), and keeps the General Counsel informed about the Program. Provides counsel for corporate legal matters for the Academy, Association, Orthopaedic Learning Center, Ortho Properties, LLC, and Rosemont Center Property Owners Association (affiliated entities). Conducts the primary, initial review of department contracts, creates initial drafts when there are requests for novel agreements, oversees the AAOS electronic contract management system and trains staff on its use; acts as back up for contract management system in the absence of the Legal Operations Associate. Assists with any pending litigation matters where AAOS is a party or in which AAOS has received a subpoena and provides and presents any updates on litigation matters as requested. 

  • Provides legal oversight and review for in-house corporate legal matters, including but not limited to intellectual property matters; leasing and tenant matters; insurance matters; and as determined, human resources legal matters.
  • Works with various departments and business lines on corporate contract matters, including drafting, negotiating terms, tracking, and monitoring contract terms. Serves as primary legal point of contact for Learning, Content & Practice Solutions, Commercial Solutions, Quality, Registries & Government Relations, and provides regular updates to General Counsel. Escalates to General Counsel as needed.  
  • Serves as Subject Matter Expert on HIPAA obligations for Registry operations and contracting; collaboration with outside counsel on compliance with HIPAA/HITECH/CARES Act.
  • Assists Compliance Specialist with processing trademark, copyright, and permissions requests.
  • Prepares and reviews health care related agreements involving data protection under federal and state laws and regulations (e.g., HIPAA, HITECH).
  • Oversees the contract administration activities of the Legal Operations Associate.
  • Serves on the Business Leadership Group and IT Security Risk Management Committee.

·        Collaborates on responsibilities for the AAOS Professional Compliance Program (“Program”), including:

  • Staffing the Professional Compliance Program committees, Committee on Professionalism (COP) and Judiciary Committee
  • Drafting, reviewing, and revising reports and summaries for COP, Judiciary Committee and Board of Directors.
  • Collaborating on the day-to-day work of the Compliance Specialist, including:
    • Conducting administrative review of all submitted grievances.
    • Reviewing and revising correspondence.
    • Responding to subpoenas for Program grievance material.
    • Developing, implementing, and overseeing a comprehensive communications plan regarding the Program.
    • Reviewing COP, Judiciary Committee and Board of Directors materials for clarity, accuracy, and confidentiality.
    • Planning, coordinating, and conducting new COP and Judiciary Committee member orientations and trainings.
    • Coordinating with outside counsel regarding legal claims against AAOS resulting from Professional Compliance Program sanctions, including oversight of in-house e-discovery and document production, and management of insurance matters; and
    • Assisting the General Counsel in developing, tracking, and maintaining an approved budget for the Program; assisting with annual budget process as requested.
    • Assisting in handling legal questions and inquiries regarding the Program from staff, members, and the public. 
  • Collaborates on staffing of various governance committees, including but not limited to joint BOC/BOS Resolutions, Bylaws Review and Professionalism Committees, and Resident Assembly Executive Committee.
  • With General Counsel, oversees AAOS response to discovery requests and communications with outside counsel which are unrelated to Program.
  • Coordinates and oversees the AAOS Corporate Integrity Reporting Program (CIRP) (fraud hotline).
  • Conducts legal research and drafts memoranda regarding legal matters as assigned. 
  • Assists General Counsel in writing and review of articles regarding the Program or other legal matters for AAOS or other publications.
  • Provides legal education/information sessions for staff and others.

  • Up to 18 days per year  

Qualifications:

Required:

  • Graduate degree:  J.D. from an accredited U.S. law school
  • Admission to Illinois state bar with license in good standing
  • 6 - 10 years’ experience involving corporate legal work, contract review, and review of data privacy/security agreements
  • Proficiency in Agiloft, AdobeSign, legal research tools like Lexis or Westlaw. and the standard Microsoft apps.

  • Healthcare law experience
  • In house, Association, or other not-for-profit experience

This hybrid position is based in Rosemont, Illinois and is open to applicants who are able to commute weekly to this office.
